1. Introduction

These Terms of Service (hereinafter the "Terms") constitute a legally binding agreement between you (hereinafter "you" or "user") and Chengdu Jingkuang Jinke Intelligent Technology Co., Ltd. (hereinafter "JINK", "we", "us", or "our") regarding your access to and use of our website, mobile applications, and any products or services offered by JINK (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services. We strongly encourage you to carefully read all provisions, especially those relating to warranties, limitations of liability, dispute resolution, and governing law. Key provisions that may limit our liability or affect your rights may be presented in bold or underlined for your convenience.

Our Terms of Service are designed to protect both you, our valued customer, and our company. We strive to maintain transparency in all our dealings, and these Terms reflect our commitment to fair and honest business practices.

2. Definitions

For the purpose of these Terms, the following terms shall have the meanings set forth below:

"Account" The registered user account created by you to access certain features of our Services
"Matter" The smart home connectivity standard developed by the Connectivity Standards Alliance (CSA), enabling interoperable communication across different brands and ecosystems
"Product(s)" Any smart home devices, hardware, accessories, or related goods offered for sale by JINK
"Services" Collectively, our website, mobile applications, customer support, technical assistance, and all related offerings
"Thread" The low-power, self-healing mesh networking protocol designed specifically for IoT devices
"Third-Party Platforms" External smart home ecosystems including but not limited to Apple HomeKit, Google Home, Amazon Alexa, and any other Matter-compatible platforms

3. Eligibility and Account Registration

3.1 Age Requirement

By accessing or using our Services, you represent and warrant that you are at least eighteen (18) years of age and are otherwise legally qualified to enter into and form contracts under applicable law. If you are using our Services on behalf of a business entity, you further represent and warrant that you are authorized to act and enter into contracts on behalf of that entity. If you are under 18 years of age, you must review these Terms with your parent or legal guardian and obtain their consent before using our Services.

3.2 Account Creation

To access certain features of our Services, you may be required to create an Account. When creating an Account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form. You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password.

3.3 Account Security

You are entirely responsible for all activities that occur under your Account, whether or not you have authorized such activities. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to comply with this section. You may be held liable for any losses incurred by us or any other party due to someone else's use of your Account, with or without your knowledge.

3.4 Account Termination

We reserve the right, in our sole discretion, to suspend or terminate your Account at any time, without prior notice, for any reason, including but not limited to your violation of these Terms or applicable laws. Upon termination, your right to use our Services will immediately cease. You agree that we shall not be liable to you or any third party for any termination of your Account or access to our Services.

4. Product Sales and Orders

4.1 Product Descriptions

JINK products are designed and manufactured with a focus on quality, reliability, and simplicity. All product specifications, descriptions, images, and pricing displayed on our website are provided for informational purposes and are subject to change without notice. We make reasonable efforts to ensure that product information is accurate, but we do not warrant that descriptions or other content are error-free, complete, or current.

4.2 Order Acceptance

When you place an order through our website, your order constitutes an offer to purchase the product(s) in your order. We reserve the right to accept or reject any order for any reason, including but not limited to product availability, pricing errors, or suspected fraudulent activity. If we reject your order, we will notify you and refund any amounts paid.

4.3 Pricing and Payment

All prices listed on our website are in Renminbi (RMB) unless otherwise stated. Prices are subject to change without prior notice. However, such changes will not affect orders that have already been accepted by us. Payment must be made using the payment methods specified on our website at the time of purchase. You represent and warrant that you have the legal right to use any payment method you provide.

4.4 Shipping and Delivery

Shipping costs and estimated delivery times will be provided at the time of order. Title and risk of loss for products pass to you upon delivery to the carrier. We are not responsible for any delays caused by the carrier or any customs clearance processes.

4.5 Returns and Refunds

Please refer to our separate Return and Refund Policy, which is incorporated into these Terms by reference. Generally, you may request a return of eligible products within thirty (30) days of receipt, subject to certain conditions, including that the product must be in its original condition and packaging. Customized or personalized products are not eligible for return unless defective.

5. Smart Home Technology and Connectivity

5.1 Matter and Thread Compatibility

JINK products are designed to be compatible with the Matter smart home connectivity standard and the Thread mesh networking protocol. These technologies enable your JINK devices to communicate directly with other Matter-certified devices and major smart home ecosystems, including Apple Home, Google Home, and Amazon Alexa, without requiring proprietary gateways.

However, you acknowledge and agree that:

(a) Third-Party Platforms: JINK does not control third-party platforms, and their performance, availability, and compatibility with our products may vary. We are not responsible for any changes, interruptions, or discontinuation of support by third-party platform providers.

(b) Network Requirements: To fully utilize Matter and Thread features, you may need compatible network infrastructure, including a Thread Border Router. You are responsible for ensuring that your home network environment meets the necessary requirements.

(c) Updates and Changes: From time to time, we may release firmware updates to improve compatibility, security, or performance. You agree to install such updates as they become available.

5.2 Product Warranties

JINK warrants that our products will be free from material defects in materials and workmanship under normal use for a period of two (2) years from the date of original purchase (the "Warranty Period"). This warranty applies only to products purchased directly from JINK or our authorized resellers.

EXCLUSIONS: This warranty does not cover damage caused by:

· Improper installation, use, or maintenance
· Accidents, misuse, abuse, or neglect
· Unauthorized modifications or repairs
· Power surges, lightning strikes, or other electrical anomalies
· Normal wear and tear
· Use in commercial or industrial environments (unless explicitly rated for such use)

5.3 Warranty Claims

If you believe a product is defective during the Warranty Period, please contact our customer support team. We may require you to provide proof of purchase and, at our discretion, to return the defective product for inspection. If we determine that the product is indeed defective, we will, at our option, either repair the product, replace it with a comparable product, or refund the purchase price.

6. User Conduct and Prohibited Activities

When using our Services, you agree to:

· Comply with all applicable laws and regulations
· Provide accurate and truthful information
· Respect the intellectual property rights of JINK and third parties
· Use our products and Services only for their intended purposes

You agree NOT to:

· Use our Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our systems
· Attempt to gain unauthorized access to any part of our Services or any systems or networks connected to our Services
· Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from our products or software
· Interfere with or disrupt the security, integrity, or performance of our products or Services
· Use any automated means (including bots, crawlers, or scrapers) to access our website or collect information from our Services
· Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity
· Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

7. Intellectual Property Rights

7.1 Ownership

All content, features, and functionality available on our website and through our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation and arrangement thereof (collectively, the "Content"), are the exclusive property of JINK or its licensors and are protected by Chinese and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The JINK name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of JINK. You may not use such marks without our prior written permission.

7.2 Limited License

Subject to your compliance with these Terms, JINK grants you a limited, non-exclusive, non-transferable, revocable license to access and use our website and Services for your personal, non-commercial use. This license does not include any right to:

· Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content
· Use any data mining, robots, or similar data gathering or extraction methods
· Use our Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services

7.3 User Content

If you submit, post, or transmit any content, feedback, suggestions, or ideas to us (collectively, "User Content"), you grant JINK a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media, without compensation to you. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.

8. Privacy and Data Protection

Your privacy is important to us. Please refer to our separate Privacy Policy, which is incorporated into these Terms by reference, for information about how we collect, use, and disclose your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

Important Notes Regarding Smart Home Data:

· JINK devices primarily operate locally within your home network and do not require continuous cloud connectivity for basic functionality.
· When you choose to connect your JINK devices to third-party platforms (such as Apple Home, Google Home, or Amazon Alexa), your data may be subject to the privacy policies of those third parties. We encourage you to review those policies carefully.
· We do not sell your personal information to third parties.
· Certain features of our Services may require the collection of usage data to improve product performance and user experience. You may opt out of certain data collection where permitted by applicable law.

For Matter-specific privacy considerations, Matter embeds data privacy principles for all interactions between devices and software agents that handle personal information, including confidentiality, integrity, minimization of data sharing, and defined purpose for data exchange.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JINK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

· YOUR USE OR INABILITY TO USE OUR PRODUCTS OR SERVICES
· ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES
· UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
· THE PERFORMANCE OR NON-PERFORMANCE OF ANY THIRD-PARTY PLATFORMS (INCLUDING BUT NOT LIMITED TO APPLE HOMEKIT, GOOGLE HOME, AND AMAZON ALEXA)
· ANY OTHER MATTER RELATING TO OUR SERVICES

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO JINK FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

10. Disclaimers

YOUR USE OF OUR SERVICES AND PRODUCTS IS AT YOUR SOLE RISK. OUR SERVICES AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

JINK DOES NOT WARRANT THAT:

· OUR SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
· ANY ERRORS OR DEFECTS WILL BE CORRECTED
· OUR SERVICES OR PRODUCTS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
· THE RESULTS OF USING OUR SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

THE MATTER AND THREAD PROTOCOLS ARE STANDARDS DEVELOPED AND MAINTAINED BY THE CONNECTIVITY STANDARDS ALLIANCE (CSA). JINK DOES NOT CONTROL THE EVOLUTION OF THESE STANDARDS OR THE COMPLIANCE OF OTHER MANUFACTURERS' PRODUCTS WITH THESE STANDARDS. WHILE WE STRIVE TO MAINTAIN COMPATIBILITY, WE DO NOT WARRANT THAT OUR PRODUCTS WILL REMAIN COMPATIBLE WITH ALL FUTURE VERSIONS OF THE MATTER OR THREAD STANDARDS OR WITH ALL THIRD-PARTY PRODUCTS.

11. Indemnification

You agree to indemnify, defend, and hold harmless JINK and its affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

· Your violation of these Terms
· Your use of our Services or products
· Your violation of any third-party rights, including intellectual property rights
· Your violation of any applicable laws or regulations
· Any content you submit, post, or transmit through our Services

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims. You shall not settle any matter without our prior written consent.

12. Modifications to Terms and Services

JINK reserves the right, in its sole discretion, to modify these Terms at any time and without prior notice. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and may provide additional notice through our website or via email. Your continued use of our Services after any such modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of our Services.

We also reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice or liability. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days through such negotiations, either party may submit the dispute to binding arbitration in Chengdu, China, in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall be conducted in Chinese, and the arbitration award shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

14. Termination

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by discontinuing your use of our Services and, if applicable, deleting your Account. We may terminate these Terms and your access to our Services at any time, without prior notice, for any reason, including your breach of any provision of these Terms. Upon termination, all rights and licenses granted to you under these Terms will immediately cease, and you must cease all use of our Services and delete any copies of our software or content in your possession.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be reformed, construed, and enforced to the maximum extent permitted by law to reflect the original intent of the parties as closely as possible.

16. Waiver

No waiver by JINK of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of JINK to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the sole and entire agreement between you and JINK with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

19. Language

These Terms are prepared in English and Chinese (Simplified). In the event of any conflict or inconsistency between the English version and the Chinese version, the English version shall prevail for international users, and the Chinese version shall prevail for users located within the People's Republic of China, unless otherwise required by applicable law.
